BOXFSH TERMS OF SERVICE

1. OVERVIEW
BoxFsh connects Clients with Pros to scope, collaborate, and deliver projects. BoxFsh facilitates contracts but is not a party to Client-Pro agreements and does not own user IP. By using BoxFsh, you agree to these Terms, the Privacy Policy, IP & Copyright Policy, and the Service Level Agreement.

2. ELIGIBILITY & ACCOUNTS
- You must be 18+ and able to enter binding agreements.
- Keep credentials secure; you are responsible for activity under your login.
- Roles: "Client" requests work. "Pro" offers services. Certain features may require verification or rank.

3. JOBS, SCOPE, AND CONFIDENTIALITY
- Sensitive jobs: checkbox "This job contains sensitive or proprietary ideas" triggers a pre-engagement confidentiality agreement; messaging and file downloads may be blocked until acceptance.
- Confidential discussions: parties may enable additional confidentiality; acceptance is logged (user ID, job ID, timestamp, optional IP) and treated as evidence.
- Scopes lock once quotes are accepted or jobs awarded; changes require mutual agreement in-app. A scope-freeze timestamp is recorded.
- BoxFsh may pause or lock files/chat during disputes, chargebacks, policy breaches, or safety concerns.

4. CONTRACTS AND ACCEPTANCES
- Pre-Engagement Confidentiality Agreement applies before hiring; no obligation to proceed; no IP transfer.
- Job Engagement Agreement applies when a quote is accepted; includes scope, deliverables, milestones, IP terms, confidentiality continuation, and dispute language.
- Acceptance flows use "I agree" intent plus click-to-accept; BoxFsh stores acceptance logs and may store PDF/text snapshots. User IDs, job IDs, timestamps, and optional IP/user agent may be retained as evidence.
- BoxFsh may provide records or freeze jobs to assist with disputes; BoxFsh is not a party to the agreements.

5. PAYMENTS & FEES
- Pricing, commissions, and payouts are shown before acceptance. Taxes may apply.
- You authorize charges for accepted work. Failed payments or chargebacks may incur suspension and recovery steps.

6. IP & DELIVERABLES
- Before contract: ideas remain with the originator; no IP transfer.
- During job: Pros retain background IP; Clients hold no ownership until full payment; review use only.
- After full payment: IP licence or assignment activates as defined in the job agreement. Portfolio rights require written agreement.
- If a job is cancelled: no IP transfers; drafts remain with the creator; confidentiality continues.
- Pros may work on similar concepts later but may not reuse a Client's confidential information.

7. ACCEPTABLE USE
- No illegal, harmful, deceptive, or discriminatory activity. No unsafe designs (e.g., weapons) without proper authorization.
- Do not bypass confidentiality gates or copy/download files before agreeing to required terms.
- No malware or attempts to bypass security, rate limits, or access controls.
- BoxFsh may remove content or suspend accounts that violate these Terms or policies.

8. REVIEWS & RATINGS
- Reviews must be honest and based on direct experience. No manipulation, coercion, or retaliation.

9. SERVICE LEVEL
- Target uptime: 99% as outlined in the Service Level Agreement. Planned maintenance may occur. Critical incidents may temporarily limit access to files or chat.

10. DATA & PRIVACY
- We handle data as described in the Privacy Policy. Essential storage supports sessions, security, audit trails, and legal/consent records. No ads or cross-site tracking.

11. DISCLAIMERS
- BoxFsh is provided "as is" without warranties (express or implied). We do not guarantee outcomes, job volume, or earnings.
- Third-party tools or links are used at your own risk.

12. LIMITATION OF LIABILITY
- To the maximum extent allowed by law, BoxFsh is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption.
- Our total liability for claims related to the Service will not exceed the greater of AUD $500 or the amounts you paid to BoxFsh in the 3 months before the claim.

13. INDEMNITY
- You agree to defend and indemnify BoxFsh against claims arising from your content, your breach of these Terms or policies, or your violation of law or third-party rights.

14. SUSPENSION & TERMINATION
- We may suspend or terminate access for fraud, non-payment, safety issues, or policy breaches. You may close your account; obligations accrued before closure survive.

15. CHANGES
- We may update these Terms. Material changes will be communicated in-product or by email. Continued use after updates constitutes acceptance.

16. GOVERNING LAW & DISPUTES
- These Terms are governed by the laws of Victoria, Australia. Courts in Victoria have exclusive jurisdiction unless otherwise required by law.
